Terms of Service

1. Acceptance of Terms

By installing and using the "EU AI Act Compliance Badge" app (the "App"), you agree to be bound by these Terms of Service, which constitute a legally binding agreement between you and Berk Strategic Ventures LLC (DBA BSV Soft). If you do not agree, do not install or use the App.

2. Purpose of the App

The App provides a visual badge to assist merchants in disclosing the use of AI to consumers located in the European Union. However, the App is a technical utility and does not constitute legal advice.

3. Absolute Disclaimer of Liability

Critical DisclaimerYou, the merchant, are solely responsible for ensuring your store fully complies with the European Union AI Act and all other applicable laws.

Berk Strategic Ventures LLC, DBA BSV Soft ("BSV Soft"), and the developers of this App make no warranties, express or implied, regarding the App. Under no circumstances shall we be held liable for anything. We are strictly not liable for any fines, penalties, damages, loss of profits, lawsuits, or legal action brought against you by any government entity, regulatory body, or third party due to your use or misuse of AI, failure to disclose AI usage, or any technical failure, bug, or downtime of this App.

By using this App, you explicitly agree to hold BSV Soft completely harmless from any and all liability.

To the maximum extent permitted by applicable law, in no event shall our total aggregate liability to you for any and all claims arising out of or relating to the use of the App exceed the total amount you paid to us for the App in the twelve (12) months preceding the event giving rise to the liability.

4. Service Availability

While we strive for 99.9% uptime using edge-network technology, we do not guarantee that the App will be error-free or uninterrupted. We reserve the right to modify or discontinue the service with or without notice.

5. Billing and Refunds

Billing is handled exclusively through the Shopify Billing API. By installing the App, you agree to the recurring charges as stated in the App listing. Due to the nature of digital software, refunds are handled on a case-by-case basis and are strictly at our discretion, subject to Shopify's App Store policies.

6. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in King County, Washington, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

7. Indemnification

You agree to indemnify, defend, and hold harmless Berk Strategic Ventures LLC (DBA BSV Soft), its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your use of the App, your violation of these Terms, or your failure to comply with the European Union AI Act or any other applicable laws.
